Mocagem Vendor Terms of Service

1. What this is

Thanks for selling with Mocagem.  These terms cover how selling, payments, taxes, and customer policies work. "You" = the vendor. "We" = Mocagem.


 

2. Getting started

  • Share your legal name, business number, address, contact, payout banking, and tax registration number (GST/HST/QST) if you’re registered.

  • Keep this information current. If your registration status changes, tell us right away.

  • We may request KYB/KYC documents. We can pause or decline onboarding if information is missing or inaccurate.

 

3. How payments work (limited payment collection agent)

  • You authorize us to collect customer payments for your Mocagem sales.

  • When Mocagem receives payment, it counts as received by you.

  • We pay you under Payouts below, minus fees, adjustments, any required holds, and taxes we must remit if you're not registered.

 

4. Taxes

  • We always collect applicable sales taxes on customer payments at checkout (e.g., HST/GST/QST).

  • If you are tax-registered and provide a valid registration number: we collect tax as your agent and include those tax amounts in your payout. You are responsible for filing and remitting.

  • If you are not tax-registered (or haven’t provided valid proof): we collect the tax and, where required by law, Mocagem remits it. Your payout will not include those tax amounts.

  • Add-ons the customer buys directly from you off-platform (tips, extras) are your tax responsibility.

  • Our platform fee and the payment processing fees are subject to applicable sales tax. Those tax fees are deducted from your payout along with the fees themselves. Your monthly statement shows these line items.

 

5. Listings, pricing, and customer policies

  • Listings must be accurate, lawful, and clearly describe what’s included, how to redeem/use it, and any blackout dates or prep requirements.

  • Redemption window: 90 days by default unless you set a different window in the offer. State any different window clearly. After the window ends, the order expires.

  • Your refund/exchange/credit/reschedule policy:

    • You set these terms in the offer at the time of sale.

    • Be clear and specific (e.g., “Unused orders refundable within 30 days,” “One reschedule allowed with 24 hours’ notice,” etc.).

    • You must honor the policy you publish.

  • No bait-and-switch. Honour the price and inclusions sold on Mocagem.

 

6. Customer experience

  • You are responsible for quality, safety, legality, and delivery of what was sold.

  • Minimum support standard: acknowledge customer messages within 2 business days and work toward a fair resolution.

  • Accept Mocagem redemption codes/QRs and mark orders redeemed in your dashboard.

 

7. Payouts, fees, and timing

When we pay: On the 1st of the second month after the sale month (or next business day). This gives a full calendar month to process refunds, exchanges, and chargebacks before settlement.

  • Example A: An order on September 10 is included in the November 1 payout.

  • Example B: Orders from all of September (Sept 1–30) are paid on November 1.

  • Example C: Orders from October are paid on December 1.

What we pay:
Your payout = gross sales plus any tax we collected on your behalf (if you’re registered) minus:

  • Mocagem platform fees and applicable tax on those fees

  • Payment processing fees and applicable tax on those fees

  • Refunds/exchanges processed up to the last day of the month following the sale month

  • Adjustments, promotions we funded (if applicable)

  • Any amounts we must withhold or remit (e.g., taxes when you’re not registered)

  • Any reserves/holds we apply for risk management (we’ll tell you if we do)

After we’ve paid:
Refunds, exchanges, or chargebacks that happen after a payout are deducted from your next payout (or invoiced if needed).


 

8. Refunds, exchanges, credits, and rescheduling

  • Your offer’s policy (set at time of sale) governs refunds, exchanges, credits, and rescheduling and must be honored.

  • If you cancel or fail to deliver, we refund the customer and reverse that amount from your payout.

  • After an order's redemption window expires (90 days by default unless your offer states otherwise), there are no refunds, exchanges, credits, or reschedules for that order.

 

9. Chargebacks and disputes

  • We handle card network processes and will ask you for evidence (proof of fulfillment, communications, your stated policies).

  • If we lose a dispute tied to fulfillment, listing accuracy, or your policy, we will debit that amount (and network fees) from your payouts.

 

10. Prohibited and restricted items

No illegal goods/services, prescriptions, adult content, weapons, hate content, unsafe or recalled items, or pyramid/MLM schemes. Regulated services (e.g., RMT/chiropractic/therapy, alcohol, food handling) require valid credentials/permits and full legal compliance.


 

11. Data and privacy

  • Use customer data from Mocagem only to fulfill orders and provide support.

  • Do not add customers to marketing lists unless you have express consent that complies with CASL.

  • Protect customer data and notify us promptly of any suspected breach.

  • Payment data is handled by our processor; do not store card details.


 

12. Reviews and your content

  • Customers can review their experience. Do not manipulate reviews.

  • You grant Mocagem a non-exclusive, worldwide, royalty-free license to use your name, logos, photos, and listing content to operate and promote the marketplace. You confirm you have rights to everything you upload.

 

13. Brand use

Use "Mocagem" and our marks according to our brand guidelines. Do not suggest we endorse your business beyond hosting your listings.

 

14. Compliance and insurance

Follow all applicable laws (consumer protection, privacy, accessibility/AODA, health/safety, food, alcohol, professional licensing). Keep appropriate insurance and provide proof if asked.

 

15. Fraud, abuse, and checks

No fake orders, self-purchases to boost reviews, or gaming redemptions. We may review activity and request records to verify fulfillment or tax status. Not cooperating can lead to holds or suspension.

 

16. Suspension or termination

We may suspend or terminate for fraud, repeated complaints, non-delivery, legal violations, unpaid adjustments, or policy breaches. You can leave with 14 days' notice; you must honour any/all existing orders or fund refunds. We may keep records we need for legal, tax, or fraud reasons.

 

17. Liability limits

We provide the platform "as is". To the extent allowed by law, we are not liable for indirect or special damages. Our total liability to you is capped at the Mocagem fees you paid in the 6 months before a claim. This does not limit any liability that cannot legally be limited.

 

18. Indemnity

You will indemnify Mocagem for claims arising from your listings, products/services, tax misstatements, regulatory breaches, or misuse of customer data.

 

19. Changes

We can update these terms at any time. We will post the new effective date. Continuing to sell on Mocagem means you accept the update.

 

20. Governing law and disputes

Ontario law applies, with federal laws of Canada where applicable. Courts in Waterloo Region have jurisdiction unless both parties agree to arbitration.
